MedPal AI (AIM: MPAL) has acquired Solid State Technologies, trading as eMARx, in a deal designed to complete its digital medication platform for the UK care home market.
eMARx provides electronic medication administration record software to care homes and pharmacies, replacing paper charts with real-time, barcode-verified medication records.
The system schedules, records and audits medication administration for every resident, helping reduce the risk of errors and missed doses.
MedPal said the acquisition adds the software layer inside care homes to its existing business, which includes NHS pharmacy dispensing, care home pharmacy supply, a private clinic and Juno, its agentic AI health companion.
The company believes the deal creates a differentiated proposition for care homes by combining eMAR software, pharmacy supply from its robotic dispensing hub at Sarus Court in Runcorn and AI-supported alerts and communication tools.
eMARx generated unaudited revenue of £739,231 in the year to 31 March 2026, up 19% year-on-year, with profit after tax of £106,273 and gross margin of around 82%.
The business generates most of its revenue from recurring monthly software subscriptions and employs six people, all of whom are joining MedPal.
MedPal said eMARx has an established customer base spanning national care groups, pharmacy groups and independent care homes, giving the company an immediate installed base for wider roll-out.
The initial consideration is approximately £380,000, made up of £133,066 in cash and 7,272,834 new MedPal shares.
A completion accounts adjustment of around £94,000 is expected, taking total consideration to approximately £474,000, with the additional amount to be settled 35% in cash and 65% in new shares.
All consideration shares are subject to lock-up and orderly market arrangements, while all seven eMARx shareholders, including five members of the operating team, will become MedPal shareholders.
Chief executive Jason Drummond said the acquisition “completes” MedPal’s Health OS by adding the digital layer where medication is administered in care homes.
He said the combination of eMARx, robotic dispensing at Sarus Court and Juno gives MedPal a national opportunity across the UK care home market.
eMARx founder John Richardson said MedPal was the right custodian for the platform, its customers and the team as he approaches retirement.
Admission of the consideration shares to AIM is expected on or around 23 July 2026, after which MedPal’s enlarged issued share capital will comprise 777,113,860 ordinary shares.
