**Publication of a Prospectus to Trade on the Main Market of London Stock Exchange**

London, New York, December 24, 2024, **Vinanz Limited**** (US OTCQB: VINZF and AQSE: BTC in London)** (“Vinanz” or “the Company”), the publicly listed Bitcoin mining company with US and Canadian Bitcoin mining operations, is pleased to announce the publication of a prospectus (“Prospectus”) in relation to the proposed admission of its existing ordinary shares (“Existing Ordinary Shares”) and new ordinary shares (“New Ordinary Shares”) pursuant to the conditional fundraise announced on 9 December 2024 (Existing Ordinary Shares and New Ordinary Shares together the “Enlarged Share Capital”) to the Official List (by way of a listing on the Transition Category) of the Financial Conduct Authority (“FCA”) and to trading on the main market (“Main Market”) for listed securities of the London Stock Exchange (together “Admission”).

It is expected that: (i) the Enlarged Share Capital will be admitted to the Transition Category of the Official List and to trading on the Main Market at 8:00am on 13 January 2025; and (ii) trading in the Existing Ordinary Shares on AQSE will be cancelled by 4:30pm on 10 January 2025. The last day of trading of the Ordinary Shares on AQSE is therefore expected to be 10 January 2025.

The Company’s shareholders should consult their own professional advisors regarding the consequences of Admission on their personal tax position.

The Prospectus has been approved by the FCA and will shortly be available to view on the Company’s website at [https://vinanz.co.uk/inner-page.](https://vinanz.co.uk/inner-page.)
