ValiRx Plc (AIM: VAL) has highlighted its indirect 5.55% shareholding in Ambrose Healthcare following the private pharmaceutical company’s agreement to acquire AM-Pharma for up to €161 million, drawing investor attention to the potential value of its investment.
The early-stage cancer therapeutics and women’s health specialist issued the update after its share price moved on 20 October 2026, following Ambrose’s acquisition announcement.
ValiRx holds its interest in Ambrose through ValiSeek Ltd, a subsidiary in which it owns 54.14%, with the remaining interest held through its joint venture arrangements with Tangent Reprofiling.
Under an intellectual property licensing agreement announced in June 2025, ValiSeek received 576,000 ordinary shares in Ambrose in connection with the licensing of its VAL401 cancer treatment programme.
ValiSeek had previously received a further 75,000 shares under an earlier option agreement, bringing its total holding to 651,000 shares, representing approximately 5.55% of Ambrose’s issued share capital.
The licensing agreement also provides for potential clinical and commercial milestone payments of up to £16 million, together with royalties, subject to the successful development and commercialisation of VAL401.
Ambrose’s acquisition of AM-Pharma introduces an additional clinical-stage programme to its portfolio, focused on hypophosphatasia (HPP), a rare metabolic disorder.
The acquired asset has previously been investigated for sepsis-associated acute kidney injury, with more than US$250 million invested in its development, including a Phase 3 trial that ultimately produced disappointing results.
However, subsequent Phase 1b research in adults with HPP demonstrated dose-dependent effects on disease biomarkers, providing a basis for further clinical development in the rare disease indication.
The programme has received Orphan Drug Designation from both the US Food and Drug Administration and the European Medicines Agency, with a proposed development pathway centred on a single pivotal clinical study.
Ambrose’s acquisition also provides access to an established European regulatory, scientific and quality infrastructure, potentially supporting development of its wider pharmaceutical portfolio, including VAL401.
ValiRx Chief Executive Mark Eccleston welcomed the acquisition, noting that ValiSeek is Ambrose’s third-largest shareholder and could benefit if the transaction leads to an increase in Ambrose’s value.
He highlighted the acquired programme’s existing clinical data, orphan drug designations and development pathway as potential advantages in progressing the treatment towards further trials.
Eccleston also believes the transaction could strengthen Ambrose’s ability to advance VAL401 and other pipeline assets through its expanded development infrastructure.
For investors, ValiRx’s indirect exposure to Ambrose provides potential upside beyond its existing drug development programmes, alongside the milestone payments and royalties associated with VAL401.
However, the €161 million acquisition consideration is not a valuation of Ambrose, and ValiRx’s indirect shareholding does not entitle it to a corresponding percentage of the acquisition value.
Any financial benefit will depend on Ambrose’s future development progress, its valuation and the terms of any eventual liquidity event.
Attention will now turn to the integration of AM-Pharma’s clinical programme, progress towards its planned pivotal study and the continued development of VAL401, as ValiRx seeks to realise potential value from its investment in Ambrose Healthcare.
