Valereum Plc has raised £1.05 million through a placing

Issue of Warrants, Holdings in the Company and Directors’ Dealing

Valereum Plc  (AQSE: VLRM | OTCQB: VLRMF) has raised £1.05 million through a placing and subscription of new ordinary shares priced at 2 pence each, with the proceeds earmarked to support the expansion of its VLRM Markets platform.

The fundraising involved the issue of new ordinary shares alongside attached warrants for participating investors, providing additional potential upside linked to future share price performance.

The company said the net proceeds will primarily be used to accelerate the scale-up of VLRM Markets as Valereum continues developing its digital financial markets and tokenisation strategy.

Directors James Bannon and Gary Cottle both participated in the fundraising, subscribing for 10 million shares each.
Following the transaction, Bannon’s holding in the company will increase to 17.84%, while Cottle’s stake will rise to 3.86%.

As directors participated in the placing, the subscriptions constituted a related party transaction under market rules. However, the independent members of the board concluded that the terms were fair and reasonable for shareholders.

Following admission of the new shares, Valereum’s enlarged issued share capital will consist of 542,432,742 ordinary shares.

The fundraising is expected to strengthen the company’s financial position as it advances the commercial rollout and development of its regulated digital markets infrastructure.
