Mkango Resources Limited (AIM/TSX-V: MKA) has taken another step towards the planned public listing of its recycling subsidiary, following Mkango Rare Earths Limited’s filing of a Form F-4 registration statement with the U.S. Securities and Exchange Commission in connection with its proposed business combination with Crown PropTech Acquisitions.
The filing advances the proposed transaction toward completion and supports plans for Mkango Rare Earths Limited to list on the Nasdaq Stock Market under the proposed ticker symbols “MKAR” and “MKARW”, subject to SEC review and shareholder approval.
The company also confirmed amendments to the business combination agreement, including revisions related to closing conditions and pre-closing share issuances.

Management said the Nasdaq listing would strengthen Mkango Rare Earths’ access to capital markets and support the continued expansion of its integrated rare earth recycling and processing operations.
The transaction forms part of Mkango’s broader strategy to build a vertically integrated rare earth supply chain focused on recycling, magnet materials and critical minerals used in electric vehicles, renewable energy systems and advanced technologies.
Comments: Mkango have filed publicly the MKAR F4 with the US Securities Comission. (Note that the F4 was filed previously confidentially). Very much worth noting that General James Jones (retd) will be a Director as will Michael Abbott and Daniel Mamadou ex Talaxis/Noble. Also Ian Brzezinski and John Raidt will be joining the advisory committee.
