[Mkango Magnetic Materials Limited (AIM/TSX-V: MKA)](https://www.investegate.co.uk/announcement/rns/mkango-resources--mka/effectiveness-of-form-f-4-registration-statement/9859332) has reached a significant regulatory milestone in its proposed Nasdaq listing of Mkango Rare Earths Limited (MKAR), after the US Securities and Exchange Commission declared its Form F-4 registration statement effective on 4 November 2026.

The development allows the proposed business combination between **Mkango Rare Earths and Crown PropTech Acquisitions (CPTK)** to progress towards a shareholder vote later this month.

**CPTK is expected to begin distributing its definitive proxy statement and prospectus on 5 November**, ahead of an extraordinary general meeting scheduled for **25 November 2026 at 10am Eastern Time**.

Shareholders recorded as of 30 October will be eligible to vote on the proposed transaction and associated resolutions.

**If completed, the merger would result in Mkango Rare Earths listing on Nasdaq under the ticker MKAR**, with its warrants expected to trade under the symbol MKARW.

The proposed listing would provide a separate US public market platform for **the Songwe Hill rare earths project in Malawi and the proposed Pulawy rare earths separation facility in Poland**.

Both projects have been designated Strategic Projects under the European Union’s Critical Raw Materials Act, reflecting their potential contribution to developing alternative rare earth supply chains.

**Songwe Hill has also secured US$4.6 million in reimbursable development funding from the US International Development Finance Corporation**, supporting front-end engineering and design activities.

Mkango believes the proposed Nasdaq transaction could increase the international visibility of its rare earth development assets and potentially improve access to US capital markets.

**President Alexander Lemon** described the SEC registration statement becoming effective as an important step towards completing the business combination.

He said the company’s immediate focus would now shift to securing the necessary shareholder approvals and progressing the proposed Nasdaq listing.

**CPTK shareholders wishing to redeem their shares for cash must submit their requests by 5pm Eastern Time on 23 November 2026**, two business days before the scheduled shareholder meeting.

The level of redemptions will be an important consideration because it could affect the cash available to the combined business and its ability to satisfy the transaction’s minimum funding conditions.

**The SEC’s declaration of effectiveness does not constitute approval of the merger or its investment merits**, and the proposed Nasdaq listing remains subject to several outstanding requirements.

These include shareholder approval, satisfaction or waiver of the transaction’s closing conditions and approval of MKAR’s initial listing application by Nasdaq.

**Nasdaq has not yet approved the listing application**, and there is no guarantee that the transaction will complete.

The proposed business combination forms part of Mkango’s wider strategy to develop rare earth supply chains serving Western industrial and technology markets.

Alongside Songwe Hill and Pulawy, the group is advancing **rare earth magnet recycling and manufacturing operations through Maginito, HyProMag and Remloy**, with activities spanning the UK, Germany and the United States.

**For investors, the SEC milestone moves the proposed Nasdaq transaction closer to a shareholder decision**, potentially creating a dedicated US-listed vehicle for Mkango’s mining and separation projects.

However, the transaction’s final structure, available funding and implications for Mkango shareholders will depend on the outcome of the vote, any shareholder redemptions and the remaining regulatory and exchange approvals.

**Attention will now turn to CPTK’s shareholder meeting on 25 November, the Nasdaq listing decision and satisfaction of the merger’s funding conditions**, as Mkango seeks to advance its international rare earth development strategy.
