The Circular contains a recommendation from the Board to shareholders that they vote against the proposed resolutions.\n\nThe Requisitioned General Meeting (“GM”) will be held at the offices of Orrick, Herrington & Sutcliffe (UK) LLP, 107 Cheapside, London EC2V 6DN on Wednesday, 11 January 2023 at 12.00 midday.\n\nThe Circular and Notice of GM, together with a Proxy Form, will be posted to shareholders today and will also be available on the Company’s website: [www.metalnrg.com](http://www.metalnrg.com).
