# Mendell Helium confirms completion of M3 Helium deal

[Mendell Helium PLC](https://www.investegate.co.uk/announcement/rns/mendell-helium-plc--mdh/result-of-gm-completion-of-acquisition/9573416) has confirmed the successful completion of its acquisition of M3 Helium Corp. following shareholder approval at a General Meeting, where all resolutions were passed.

As part of the transaction, the company appointed Paul Mendell as Chief Technical Director. Following admission of the new shares, Mendell will hold approximately 9.37% of the enlarged issued share capital.

The acquisition involved the issuance of 21,683,219 new ordinary shares to Paul Mendell in exchange for his M3 Helium sale shares.

In addition, Mendell Helium issued a further 102,428,874 new ordinary shares and 10,881,861 warrants to advisers involved in the transaction.

The company said the new shares are expected to be admitted to trading on the Aquis Stock Exchange on May 19, 2026.

Following admission, Mendell Helium’s total issued share capital and voting rights will increase to 338,186,938 ordinary shares.

Management said the completion of the M3 Helium acquisition marks a significant milestone in the company’s strategy to build a helium-focused exploration and production business in North America.
