i3 Energy plc (LON:I3E), the AIM quoted independent oil and gas company, is pleased to announce, a conditional offer for subscription via PrimaryBid (the “PrimaryBidOffer”).
Of new ordinary shares of (“New Ordinary Shares”) at an issue price of 5 pence per New Ordinary Share (the “Issue Price”), being a discount of 18.03 per cent to the closing mid-price at which i3’s shares suspended on 23 June 2020. The Company is also conducting a placing of new Ordinary Shares at the Issue Price (the “Primary Placing”) as announced earlier on 7 August 2020.
The PrimaryBid Offer and the Primary Placing are conditional on the new Ordinary Shares to be issued pursuant to the PrimaryBid Offer and the Primary Placing being admitted to trading on AIM (“Admission”). The PrimaryBid Offer will not be completed without the Primary Placing also being completed.
The Company will use the funds raised to complete the Gain Acquisition, unlock production potential within the Gain Asset portfolio, and for general corporate purposes
The Gain Acquisition, the PrimaryBid Offer and the Primary Placing remain subject to shareholder approval at a General Meeting of i3’s shareholders, expected to be held on or about 26 August 2020. Admission is expected to be take place shortly after the General Meeting .
