FCA Approves Stanford Capital Change of Control as Marechale Moves Ahead with Digital Merchant Bank Strategy

Marechale Capital plc (AIM: MAC) has received approval from the Financial Conduct Authority (FCA) for the change of control of Stanford Capital Partners Limited, marking a key milestone in its proposed acquisition strategy.

The approval forms part of Marechale’s planned acquisitions of Stanford Capital Partners, Blubird Global Inc., NJC Capital Management VSA Private Fund Limited and NJC Capital Management Limited, which were announced on 3 June 2026. FCA approval was a required condition for the completion of the Stanford transaction.

Shareholders are due to vote on the acquisitions at a General Meeting scheduled for 10:00am on 22 June 2026 at the offices of Cairn Financial Advisers LLP in London.

Chief Executive Patrick Booth-Clibborn welcomed the regulatory approval, describing it as an important step towards completing what the company views as transformational transactions.

Once completed, the acquisitions are expected to significantly expand Marechale’s capabilities across corporate finance, capital markets, asset tokenisation and investment management, supporting its ambition to establish itself as a fully integrated digital merchant bank.

The company believes the enlarged group will be well positioned to capitalise on the growing convergence of traditional financial services and digital asset markets.
