# ECR Minerals Defers A$2m Maddens Payment Until Gold Sales Begin

[ECR Minerals plc (AIM: ECR)](https://www.investegate.co.uk/announcement/rns/ecr-minerals--ecr/amendment-to-a-2m-deferred-consideration-payment/9795174) has renegotiated the A$2 million deferred consideration for its 50% interest in the Maddens Gold Project, replacing a fixed November 2026 payment with one linked to future gold-production proceeds.

Under the original acquisition terms announced in May, the **A$2 million cash consideration was due six months after completion**, which would have made it payable in November.

Following discussions with the relevant Lucky Strike Mining Ventures shareholders, ECR said the payment will instead be contingent on **ECR Minerals (Paleogold) Ltd receiving corresponding proceeds from gold production and sales at Maddens**.

There is therefore **no longer a fixed November payment date or fixed repayment timetable**, although the A$2 million liability remains outstanding and has not been waived.

Chairman **Nick Tulloch** said the amendment gives ECR significantly greater financial flexibility and better aligns the timing of the consideration with future cash generated from Maddens.

He added that underground development was well advanced and that the company expects **maiden production shortly**, while the discovery of Jack’s Reef had increased the board’s confidence in the project’s broader geological potential.

Underground development at Maddens is progressing, with **drilling and blasting on the main decline under way for several weeks** alongside work on ventilation, safety, access and equipment preparation.

The existing processing plant is also being prepared for operation, including installation work associated with a **20-inch Knelson concentrator**.

Development material has already been **stockpiled at surface for processing**, and ECR said maiden production is expected shortly. The company had previously planned to begin processing existing surface stockpiles before moving to newly accessed underground ore.

Recent underground development has also exposed **Jack’s Reef**, a newly identified quartz structure reported at around 50 centimetres or more in width in places.

Visible gold has been observed in the reef, but this remains a geological observation rather than an assay result or defined resource. ECR believes the structure could provide a link between the historic Maddens workings and extensions of the wider mineralised system.

ECR currently holds a **50% beneficial interest in Lucky Strike**, although the relevant shares will only be released to ECR once the deferred consideration has been paid.

For investors, the immediate benefit is the removal of a **near-term A$2 million cash call**, reducing pressure on ECR’s balance sheet as Maddens moves towards production. The next important evidence will be actual commissioning and gold sales, because those cash receipts will both determine the project’s economics and trigger the mechanism through which the outstanding vendor consideration is repaid.
