BSF Enterprise Shares Rises 47% on T-Rex Leather expansion

BSF Enterprise Signs US Joint Venture Deal to Commercialise T-Rex Leather™

BSF Enterprise PLC (LON: BSFA) shares surged 47% after the company signed heads of terms for a proposed US joint venture to commercialise its proprietary T-Rex Leather™ in North America’s luxury goods market.

The non-binding agreement with US brand operator IMPOSTER LLC will establish a 50:50 joint venture, providing BSF with a capital-light route into the US while retaining full ownership of its intellectual property and commercial rights across its core global markets.

The venture will initially focus on luxury accessories, including bag charms, keyrings, desk accessories, equestrian goods, bespoke handbags and wallets.

As part of the first phase, T-Rex Leather™ products will be showcased at major US luxury events, including the Hampton Classic Horse Show in August, New York Fashion Week in September and the Humane World Gala in November, with the aim of generating early customer interest and pre-orders.

BSF will not contribute cash to the joint venture, instead supplying its proprietary technology and acting as the exclusive material supplier. Full commercial exclusivity will only begin if IMPOSTER completes its planned fundraising and provides between US$500,000 and US$1 million of ring-fenced operational funding.

The company expects the partnership to generate revenue through multiple streams, including material sales, royalties on finished products and a 50% share of joint venture profits.

Importantly, BSF will retain 100% ownership of its patents, manufacturing technology and commercial rights for larger markets such as footwear, apparel, automotive interiors and mainstream handbags, preserving its ability to secure future partnerships with global luxury brands.

Chief executive Che Connon said the agreement provides an efficient route into the lucrative US luxury market while allowing BSF to preserve capital and maintain strategic flexibility for larger commercial opportunities.
