Shares of Argo Blockchain PLC (LSE:ARB, OTCQX:ARBKF, NASDAQ:ARBK) soared 17% after the company announced it had signed a non-binding term sheet for $40 million in financing.
The funds will be allocated to upgrading its mining fleet in Quebec, bolstering its balance sheet, and exploring potential mergers and acquisitions.
The financing will be disbursed in two phases: an initial $15 million tranche and up to $25 million over the next 18 months. The loans come with an 8% interest rate and a 25% conversion premium.
The unidentified investor group, consisting of up to three multinational institutions, will provide the funding and secure three seats on Argo’s board.
The agreement is subject to shareholder approval and regulatory waivers. Argo has granted the investors a 20-day exclusivity period and agreed to a $150,000 break fee under specific conditions.
Chairman Matt Shaw stated that the financing will support profitable growth and enhance financial stability. While the deal is not yet finalized, Argo is actively collaborating with investors to complete due diligence and finalize the terms. Further updates will be provided as discussions progress.
No Assurance of Definitive Agreements
There can be no assurance that any definitive agreements for the Financing will be signed or that the Financing will be consummated. Should Argo be unsuccessful in completing the Financing, Argo may need to explore other financing opportunities. The Company is endeavoring to complete such Financing to provide the Company with working capital sufficient for its present requirements, that is for at least the next twelve months from the date of this announcement.
